1. Agreement to Terms

By accessing or using AdvantageX’s services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Use License

Permission is granted to temporarily access the materials (information or software) on AdvantageX’s website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or public display
• Attempt to reverse engineer any software contained on our website
• Remove any copyright or proprietary notations from the materials
• Transfer the materials to another person or “mirror” the materials on any other server

3. Services Description

AdvantageX provides data analytics consulting services, including but not limited to:

• Business analytics and data engineering
• Data science and artificial intelligence solutions
• Enterprise performance management
• Business process automation
• Consulting, implementation, and managed services
• Training and enablement programs

4. Client Responsibilities

When engaging with our services, clients agree to:

• Provide accurate and complete information
• Respond to requests for information in a timely manner
• Comply with all applicable laws and regulations
• Maintain the confidentiality of any access credentials
• Notify us immediately of any unauthorized access or security breaches

5. Intellectual Property Rights

All content, materials, deliverables, and intellectual property created by AdvantageX remain the exclusive property of AdvantageX unless otherwise specified in a separate written agreement. This includes:

• Methodologies and frameworks
• Software tools and applications
• Documentation and reports
• Training materials
• Any custom solutions or implementations

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of our engagement. This obligation survives the termination of any agreement.

Confidential Information Includes:

• Business strategies and plans
• Financial information
• Technical data and specifications
• Customer and supplier lists
• Proprietary processes and methods

7. Payment Terms

All services are subject to the payment terms outlined in individual service agreements. Standard terms include:

• Payment is due within 30 days of invoice date unless otherwise specified
• Late payments may incur interest charges at 1.5% per month
• AdvantageX reserves the right to suspend services for non-payment
• All fees are non-refundable unless otherwise stated in writing

8. Limitation of Liability

In no event shall AdvantageX or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use our services, even if AdvantageX or an authorized representative has been notified of the possibility of such damage.

9. Warranties and Disclaimers

The materials and services are provided on an ‘as is’ basis. AdvantageX makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

10. Service Modifications

AdvantageX reserves the right to:

• Modify or discontinue any service at any time
• Change pricing with 30 days’ notice
• Update service features and capabilities
• Improve our methodologies and processes

11. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination:

• Client must pay all outstanding fees
• AdvantageX will provide transition assistance as agreed
• Confidentiality obligations continue indefinitely
• Client data will be handled according to our data retention policy

12. Indemnification

You agree to indemnify, defend, and hold harmless AdvantageX, its officers, directors, employees, agents, and third parties from and against any claims, actions, or demands, including reasonable legal fees, arising from your use of our services or your violation of these terms.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in Bengaluru, India.

14. Dispute Resolution

In the event of any dispute arising from these terms or our services, the parties agree to:

1. First attempt to resolve the dispute through good faith negotiations
2. If unresolved after 30 days, engage in mediation
3. If mediation fails, proceed to binding arbitration in Bengaluru, India

15. Changes to Terms

AdvantageX reserves the right to revise these terms at any time. We will notify clients of any material changes via email or website notice. Your continued use of our services following any changes indicates your acceptance of the new terms.

16. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms of Service, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and AdvantageX regarding our services and supersede all prior agreements and understandings.
